Chad F. Hesse was appointed corporate counsel and corporate secretary for Diebold, Incorporated in April 2008. He is responsible for preparing and coordinating the company’s SEC filings; organizing and attending meetings of the board of directors and its committees, and the annual meeting of shareholders; administering the company’s executive compensation plans; providing legal support to the company’s corporate development department, including the preparation and negotiation of acquisition documents; providing general legal advice to the board of directors and senior management; and overseeing the company’s subsidiaries. Previously he served as assistant secretary.
Before joining Diebold in August 2004, Hesse was an associate attorney with Hahn Loeser + Parks LLP, specializing in the business practice area. Prior to his work at the law firm, Hesse served as law clerk for the Honorable Judge Ishmael A. Meyers, Territorial Court of the Virgin Islands, Division of St. Thomas and St. John.
Hesse is a member of the American Bar Association and the Ohio State Bar Association. He holds membership in the National Association of Stock Plan Professionals (NASPP), Society of Corporate Secretaries & Governance Professionals (SCS&GP) and Association of Corporate Counsel (ACC). He is a former member of the Cleveland Bar Association.
Hesse is a native of Marcy, N.Y. He received a dual bachelor’s of arts and science in international business and business pre-law from Bowling Green State University in Bowling Green, Ohio. Hesse also received a juris doctor, graduating magna cum laude, from Cleveland-Marshall College of Law in Cleveland, Ohio.
